Annual obligations of your LLC

A U.S. LLC comes with annual obligations. This sheet sets them out clearly, with their deadlines and the state involved. Knowing them in advance keeps your company in good standing — and it is our commitment to transparency.

A non-resident LLC has four annual obligations: the state Annual Report (state-dependent — none for New Mexico), the Registered Agent (renewed each year), the IRS information filing (mandatory even with no income, penalties up to $25,000) and any obligations in your country of residence. Our annual packages cover the Annual Report and the Registered Agent.

State Annual Report

Depending on the formation state: Wyoming requires an annual report, Delaware a franchise tax, and New Mexico none. Failing to file leads to the loss of "Active" status and possible administrative dissolution. This obligation is covered by the Maintenance Pack.

Registered Agent

Your company must keep a registered agent in the state at all times. The first year is free in the Formation Pack; renewal (from year 2) is covered by the Maintenance Pack.

Annual IRS tax filing

Important obligation

Any LLC owned by one or more non-residents must file an annual information return with the IRS, even with no activity or income. These obligations are not covered by the formation service — the Accounting Pack lets you delegate them to a U.S. CPA.

Multi-member LLC

Form 1065 + K-1

Deadline: March 15

Penalty ~$260/month/member for late filing

Single-member LLC

Form 5472 + pro forma 1120

Deadline: April 15

Penalty up to $25,000 for an unfiled Form 5472
